Terms of Service

1. Platform Description

FarmHub ("the Platform") is operated by StanHattie LLC, an Iowa limited liability company located at 731 SE Alices Rd PMB 1035, Waukee, IA 50263. FarmHub provides a technology platform for American farmers, including group buying coordination, grant discovery, market price data, weather information, equipment listings, livestock auction information, and a direct-to-consumer marketplace.

2. Eligibility

You must be at least 18 years of age to create an account or use the Platform. By using FarmHub, you represent that you are at least 18 years old and are based in the United States. If you are using FarmHub on behalf of a farm operation, business, or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Terms

When you create a FarmHub account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. FarmHub reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months.

4. Group Buy Participation

When you commit to a group buy on FarmHub, you are making a binding commitment to purchase at the stated quantity and price, subject to the group buy reaching its target. Key terms:

• Commitments: Your commitment is binding once submitted. You may withdraw only before the group buy reaches its minimum target, unless otherwise stated in the specific group buy terms.
• Deposits: Some group buys require a refundable deposit at the time of commitment. Deposits are held securely via Stripe and are fully refundable if the group buy does not reach its target.
• Refund Policy: If a group buy is cancelled (target not met by deadline), all deposits are refunded in full within 10 business days. Once a group buy is confirmed and the order is placed, refunds are subject to the supplier's return policy.
• Pricing: Group buy prices are estimates based on projected volume. Final pricing is confirmed when the target is reached. FarmHub makes reasonable efforts to ensure pricing accuracy but cannot guarantee final prices until supplier confirmation.

5. Equipment and Market Listings

FarmHub allows users to list equipment for sale and post items on the direct market. All listings are user-submitted content. FarmHub does not inspect, verify, or guarantee the accuracy of any listing. FarmHub is not a party to any transaction between buyers and sellers. Users are responsible for:

• The accuracy of their listings (descriptions, pricing, condition, photos)
• Complying with all applicable laws when buying or selling
• Conducting their own due diligence before completing transactions
• Resolving any disputes directly with the other party

FarmHub reserves the right to remove any listing that violates these Terms, is fraudulent, or is otherwise inappropriate.

6. Payments

All payments on FarmHub are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service. FarmHub does not store your credit card information. FarmHub may charge a platform fee on certain transactions, which will be clearly disclosed before you complete any purchase.

7. Intellectual Property

The FarmHub platform, including its design, code, content, logos, and branding, is owned by StanHattie LLC and protected by copyright and trademark law. You may not copy, modify, distribute, or create derivative works from any part of the Platform without written permission. Content you submit to FarmHub (listings, posts, reviews) remains yours, but you grant FarmHub a non-exclusive, royalty-free license to display and distribute that content on the Platform.

8. Limitation of Liability

FarmHub is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, StanHattie LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms or your use of FarmHub shall not exceed the amount you paid to FarmHub in the 12 months preceding the claim, or $100, whichever is greater.

9. Disclaimer

Market prices, weather data, grain bids, and other informational content on FarmHub are provided for reference only and do not constitute financial, legal, or agronomic advice. Grant information is sourced from publicly available data and may not reflect the most current enrollment windows or eligibility requirements. Always verify information with the relevant agency or a qualified professional before making decisions based on data from the Platform.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Post false, misleading, or fraudulent listings or content
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the Platform or other user accounts
• Use automated tools to scrape or collect data from the Platform
• Interfere with the proper functioning of the Platform

11. Termination

FarmHub may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other users or the Platform. You may delete your account at any time by contacting support@getfarmhub.com. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (limitation of liability, intellectual property, governing law) will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to conflict of law principles. Any disputes arising from these Terms or your use of FarmHub shall be resolved in the state or federal courts located in Polk County, Iowa.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify registered users by email and post a notice on the Platform. Your continued use of FarmHub after changes are posted constitutes acceptance of the updated Terms.
